Terms of Service

These Terms of Service ("Terms") govern your access to and use of TexoAI's website, products, and related services (collectively, the "Services").

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility and Account

To use the Services, you must be at least 18 years old or the age of majority in your jurisdiction, whichever is higher.

You are responsible for:

  • Providing accurate account information
  • Keeping your login credentials secure
  • All activities that occur under your account

You must notify us promptly if you believe your account has been accessed without authorization.

2. Services and Acceptable Use

You may use the Services only in compliance with these Terms and applicable laws.

You agree not to:

  • Use the Services for illegal, harmful, fraudulent, or abusive activity
  • Infringe or violate intellectual property, privacy, or other rights
  • Upload or distribute malware, spam, or malicious code
  • Attempt to reverse engineer, disrupt, or interfere with the Services or security controls
  • Access non-public areas of the Services without authorization
  • Use automated means to scrape or extract data in a way that causes unreasonable load or violates our policies

We may monitor usage and investigate violations to protect users, the platform, and third parties.

3. User Content and Inputs

You may submit prompts, text, images, files, and other content to the Services ("Inputs") and may receive outputs generated by the Services ("Outputs"). Inputs and Outputs are collectively "User Content."

As between you and TexoAI, and to the extent permitted by law, you retain your rights in your Inputs.

You are responsible for your User Content, including ensuring you have all rights, permissions, and legal bases required to submit it and use generated results.

4. License You Grant to TexoAI

You grant TexoAI a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, transmit, and display User Content solely as needed to:

  • Provide and operate the Services
  • Improve quality, safety, and reliability of the Services
  • Comply with legal obligations
  • Enforce these Terms

This license ends when your User Content is deleted from active systems, except where retention is required for legal, security, fraud-prevention, backup, or compliance purposes.

5. AI Output Disclaimer

AI-generated content may be inaccurate, incomplete, or inappropriate for your use case. You must evaluate Outputs before relying on them.

You must not use the Services or Outputs as the sole basis for decisions in high-risk contexts, including medical, legal, financial, employment, housing, or safety-critical decisions.

6. Fees, Billing, and Refunds

Some Services are paid. By purchasing, you agree to pay all applicable fees, taxes, and charges.

Unless otherwise stated at purchase, subscription fees are billed in advance and may auto-renew until canceled.

Refunds are governed by our Refund Policy. Current policy: eligible customers may request a full refund within 30 days of purchase by contacting [email protected].

7. Intellectual Property

TexoAI and its licensors own all rights, title, and interest in and to the Services, including software, models, trademarks, branding, and content (excluding User Content).

Except as expressly permitted by these Terms, no rights are granted to you.

8. Third-Party Services

The Services may include links or integrations with third-party services. TexoAI does not control third-party services and is not responsible for their content, terms, availability, or practices.

Your use of third-party services is governed by their own terms and policies.

9. Privacy

Our collection and use of personal information is described in our Privacy Policy.

By using the Services, you acknowledge that your information may be processed as described in that policy.

10. Suspension and Termination

We may suspend or terminate access to the Services (in whole or in part) if:

  • You violate these Terms
  • Your use creates security, legal, or operational risk
  • Required by law or legal process
  • Needed to prevent abuse, fraud, or harm

You may stop using the Services at any time.

Sections that by nature should survive termination will survive, including ownership, disclaimers, limitation of liability, indemnity, and dispute provisions.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEXOAI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND QUIET ENJOYMENT.

We do not warrant uninterrupted, secure, or error-free operation of the Services.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEXOAI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEXOAI'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO TEXOAI FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

13. Indemnification

You agree to indemnify and hold harmless TexoAI and its affiliates, officers, employees, agents, and licensors from and against claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services
  • Your User Content
  • Your violation of these Terms or applicable law
  • Your violation of any third-party rights

14. Governing Law and Disputes

These Terms are governed by the laws of the United States, without regard to conflict of laws principles.

Unless otherwise required by applicable law, disputes arising out of or relating to these Terms or the Services will be resolved in courts located in the United States, and you consent to their jurisdiction.

15. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will provide notice as appropriate.

The "Last updated" date reflects the latest version. Your continued use of the Services after updated Terms become effective means you accept the updated Terms.

16. General Terms

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.

Our failure to enforce a provision is not a waiver.

These Terms, together with any policies expressly incorporated by reference, constitute the entire agreement between you and TexoAI regarding the Services.

You may not assign these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, reorganization, or sale of assets.
